Terms & conditions
Last updated: 13 October 2026
1. Acceptance and parties
1.1 These Terms and Conditions (the “Terms”) form a binding agreement between you and Divy Kala, an individual resident in India, carrying on business under the name “Everasa” (“Everasa”, “we”, “us” or “our”), and govern your access to and use of everasa.com, its sub-domains, applications, application programming interfaces and all related services (together, the “Service”).
1.2 By creating an account, ticking a box indicating your acceptance, placing an order, purchasing Prepaid Minutes or otherwise accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must not access or use the Service.
1.3 The following are incorporated into and form part of these Terms: our Refunds & Cancellation Policy, our Shipping & Delivery Policy, our Pricing page, and any other terms displayed to you when you place an order (together, the “Policies”). In the event of any conflict between these Terms and any Policy, these Terms prevail unless the Policy expressly states otherwise.
1.4 Our Privacy Policy describes how we collect and handle information, including Content. It does not form part of these Terms.
2. Eligibility and business use only
2.1 The Service is offered exclusively to businesses and professionals for commercial purposes. It is not offered to, and must not be used by, any person acting as a consumer. By using the Service you represent and warrant that you are acquiring it for the purposes of your trade, business or profession.
2.2 You represent and warrant that you are at least 18 years of age, that you have full power and authority to enter into these Terms and, where you use the Service on behalf of an organisation, that you are authorised to bind that organisation, in which case “you” refers to that organisation and you jointly.
2.3 We may refuse to provide the Service to any person or organisation, in any jurisdiction, at our sole discretion and without giving reasons.
3. The Service
3.1 The Service generates audio description scripts for video content that you supply, using automated systems including artificial intelligence. Output is delivered as a script in a text-based format (for example SRT, WebVTT or such other formats as we may make available from time to time) (“Output”).
3.2 Supported languages, file formats, file sizes, durations, features and other specifications are as stated on the Service from time to time and may change at any time without notice. The Service currently supports content in English and Hindi. Inclusion of any language, format or feature on the Service is not a commitment to continue offering it.
3.3 We may, at our sole discretion and without liability, refuse, suspend, cancel or decline to process or complete any order or any content, in whole or in part, at any time and for any reason or no reason, including without limitation where the content is in a language we do not support, is of insufficient quality, cannot be processed for technical reasons, or may in our opinion be unlawful or expose us to risk. Any remedy in such a case is solely as set out in the Refunds & Cancellation Policy and is at our discretion.
3.4 We may modify, update, suspend or discontinue the Service or any part of it, temporarily or permanently, at any time with or without notice, and shall have no liability to you for doing so.
4. Nature of Output
4.1 Output is generated automatically and is provided as a draft intended to be reviewed, edited and approved by appropriately qualified persons before any use. Output may contain errors, omissions, inaccuracies, misidentifications of persons or events, timing and synchronisation errors, and content that is incomplete, inappropriate or offensive.
4.2 You are solely responsible for reviewing, verifying and editing all Output, and for any use, publication, broadcast or distribution of Output or of any work incorporating it.
4.3 We make no representation or warranty that Output complies with or satisfies any law, regulation, rule, standard, guideline, style guide, specification or best practice relating to accessibility, audio description, captioning, broadcasting or distribution, including without limitation the Web Content Accessibility Guidelines and the requirements of any regulator, broadcaster, platform, distributor or client. Compliance with any such requirement is solely your responsibility.
4.4 Owing to the nature of the systems used, Output that is the same as or similar to Output provided to you may be generated for other users.
5. Accounts
5.1 You must provide accurate and complete information when you register and keep it up to date. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account, whether or not authorised by you. You must notify us immediately of any unauthorised use, using the details on our Contact us page.
5.2 We may refuse registration, and may suspend, restrict or terminate any account, at any time, at our sole discretion, with or without notice and with or without cause.
6. Orders and delivery
6.1 An order is placed when you confirm it and it is paid for, whether from your Prepaid Minutes or by direct payment. Processing begins once an order is placed. A placed order cannot be cancelled, amended or withdrawn by you.
6.2 Output is delivered digitally by being made available for download through your account, as further described in the Shipping & Delivery Policy. Any delivery time stated on the Service or otherwise communicated to you is an estimate only and is not guaranteed. Time of delivery is not of the essence, and we shall have no liability for any delay or failure to deliver within any estimated time.
6.3 Output remains available for download for such period as we may determine from time to time. You are responsible for downloading and retaining your own copies of Output.
7. Fees, prepaid minutes and payment
7.1 Fees are as displayed on the Service at the time you place an order or purchase Prepaid Minutes. We may change our fees at any time; changes apply to purchases made after the change. All fees are payable in advance.
7.2 Usage is measured and charged per minute of video, or part of a minute, as calculated by our systems. The charge shown to you before you confirm an order is the charge for that order, and our measurement is final.
7.3 You may pay for minutes of the Service in advance ("Prepaid Minutes"). Each Prepaid Minute pays for one minute of video, as measured under clause 7.2. Prepaid Minutes have no cash value, are not legal tender, a deposit or a stored-value instrument, are not transferable between accounts, and may be used only on the Service. Prepaid Minutes are valid for such period as we may specify on the Service or at the time of purchase. Promotional, free or coupon minutes may be withdrawn, varied or made to expire at any time and are never redeemable for cash.
7.4 Payments are processed by third-party payment service providers, including Razorpay, and are subject to their terms. We do not receive or store your full card details.
7.5 All fees are exclusive of taxes, duties, levies, bank charges, payment processing charges and currency conversion costs, all of which are borne by you.
7.6 If you initiate a chargeback or payment dispute, we may immediately suspend your account, withhold Output, revoke Prepaid Minutes, and recover from you any amounts reversed together with associated fees and costs.
7.7 Except as expressly set out in the Refunds & Cancellation Policy, all payments are final and non-refundable.
8. Your content
8.1 As between you and us, you retain ownership of the video, audio and other material you upload or submit (“Content”).
8.2 You grant us, and the service providers we engage, a worldwide, non-exclusive, royalty-free licence to host, store, copy, transmit, transcode, analyse and otherwise process your Content to the extent necessary to provide the Service, to comply with law, and to enforce these Terms.
8.3 You represent and warrant that: (a) you own or have obtained all rights, licences, consents and permissions necessary to upload the Content and to permit us to process it as contemplated by these Terms; (b) uploading and processing the Content does not breach any law, any third party’s intellectual property, privacy or other rights, or any confidentiality, distribution, embargo or other obligation owed by you to any person; and (c) the Content is not unlawful, defamatory, obscene or otherwise objectionable.
8.4 You are solely responsible for your Content. We do not review Content before processing it, but may remove, refuse or delete any Content at any time at our discretion.
8.5 How we handle and delete Content is described in our Privacy Policy. The Service is not a storage or archival service, and you must keep your own copies of all Content and Output.
9. Output
9.1 Subject to full payment for the relevant order, we grant you a perpetual, worldwide, royalty-free, non-exclusive licence to use, copy, modify, publish and distribute the Output delivered to you, for any lawful purpose in connection with the Content to which it relates. We make no representation that Output is capable of protection by copyright or any other intellectual property right.
9.2 Except for the licence in clause 9.1, we retain all right, title and interest in and to the Output, the Service and all software, models, systems, methods, know-how and other materials used to provide it, including all improvements to them.
10. Acceptable use
10.1 You must not, and must not permit any person to: (a) use the Service in breach of any law or of these Terms; (b) copy, modify, reverse engineer, decompile or attempt to extract the source code, models or underlying methods of the Service; (c) access the Service by automated means other than any interface we expressly provide for that purpose, or scrape, crawl or harvest any part of it; (d) use the Service or any Output to develop, train or improve any competing product or service; (e) resell, sublicense or provide the Service to any third party except as we expressly permit; (f) upload malicious code or interfere with the security or operation of the Service; or (g) circumvent any limit, measurement or access control.
11. Third-party services
11.1 The Service relies on third-party providers, including providers of payments, hosting, storage, email and artificial intelligence models. We are not responsible for the acts, omissions, availability or terms of any third party.
12. Security
12.1 We take measures we consider reasonable to protect Content. However, no method of transmission or storage is completely secure, and we do not warrant or guarantee that Content or Output will be free from unauthorised access, use, disclosure, alteration, loss or destruction. You upload Content at your own risk.
13. Disclaimer of warranties
13.1 TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE AND ALL OUTPUT ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. WE EXPRESSLY DISCLAIM ALL WARRANTIES, CONDITIONS AND REPRESENTATIONS, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING ANY WARRANTY OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, TIMELINESS, NON-INFRINGEMENT, AVAILABILITY OR UNINTERRUPTED OR ERROR-FREE OPERATION.
14. Limitation of liability
14.1 TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL WE, OR ANY OF OUR FOUNDERS, ADVISERS, PERSONNEL, CONTRACTORS, SUCCESSORS OR ASSIGNS, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE LOSS OR DAMAGE, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, CONTRACTS, GOODWILL, REPUTATION OR ANTICIPATED SAVINGS, LOSS OF OR DAMAGE TO DATA OR CONTENT, ANY UNAUTHORISED ACCESS TO, OR USE OR DISCLOSURE OF, CONTENT OR OUTPUT, COSTS OF SUBSTITUTE SERVICES, MISSED RELEASE, BROADCAST OR DELIVERY DATES, OR ANY FINE, PENALTY OR REGULATORY SANCTION, HOWEVER ARISING AND WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), BREACH OF STATUTORY DUTY OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH LOSS.
14.2 TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS, THE SERVICE AND ALL OUTPUT, FOR ALL CLAIMS TAKEN TOGETHER, SHALL NOT EXCEED THE AMOUNT ACTUALLY PAID BY YOU TO US FOR THE SPECIFIC ORDER GIVING RISE TO THE CLAIM.
14.3 Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law.
15. Indemnity
15.1 You shall defend, indemnify and hold harmless us and our founders, advisers, personnel, contractors, successors and assigns from and against all claims, demands, proceedings, losses, damages, liabilities, penalties, costs and expenses (including reasonable legal fees) arising out of or in connection with: (a) your Content; (b) any use, publication, broadcast or distribution of Output; (c) your breach of these Terms or of any representation or warranty you give in them; or (d) your violation of any law or of the rights of any third party.
16. Suspension and termination
16.1 We may suspend or terminate your access to all or any part of the Service at any time, for any reason or no reason, with or without notice. You may stop using the Service at any time and may ask us to close your account by email.
16.2 If we terminate or suspend your account because of your breach of these Terms, any unused Prepaid Minutes are forfeited. In any other case, unused Prepaid Minutes are dealt with in accordance with the Refunds & Cancellation Policy.
16.3 Clauses 4, 7.5 to 7.7, 8.3, 8.4, 9 and 12 to 23, and any other provision which by its nature is intended to survive, survive termination.
17. Force majeure
17.1 We shall not be liable for any delay or failure to perform caused by events beyond our reasonable control, including acts of God, fire, flood, epidemic, war, terrorism, civil unrest, government action, labour disputes, failure of power, internet, telecommunications or hosting, failure of any third-party service provider, or cyber attack.
18. Changes to these Terms
18.1 We may amend these Terms and any Policy at any time by posting the amended version on the Service. Amendments take effect when posted. We may, but are not obliged to, notify you of amendments by email or through the Service. Your continued access to or use of the Service after an amendment is posted constitutes your acceptance of it. You should review these Terms periodically.
19. Notices
19.1 You agree to receive communications from us electronically. We may give notice to you by email to the address associated with your account or by posting on the Service, and such notice is effective when sent or posted. Notices to us must be sent by email to the address on our Contact us page.
20. Assignment
20.1 You may not assign, transfer or sub-contract any of your rights or obligations under these Terms without our prior written consent. We may assign, transfer, novate or sub-contract any or all of our rights and obligations under these Terms, without notice to you, to any person, including any company, limited liability partnership or other entity formed to carry on the business of Everasa. You consent in advance to any such assignment or novation and agree to execute any document reasonably required to give effect to it.
21. Governing law and jurisdiction
21.1 These Terms and any dispute or claim arising out of or in connection with them, the Service or any Output, including non-contractual disputes or claims, are governed by the laws of India.
21.2 The courts at Hyderabad, Telangana, India shall have exclusive jurisdiction over any such dispute or claim, and you irrevocably submit to that jurisdiction. Nothing in this clause prevents us from seeking injunctive or other relief in any jurisdiction.
22. General
22.1 These Terms, together with the Policies, constitute the entire agreement between you and us in relation to their subject matter and supersede all prior communications, representations and understandings. 22.2 If any provision of these Terms is held invalid or unenforceable, it shall be enforced to the maximum extent permissible and the remaining provisions shall continue in full force and effect. 22.3 No failure or delay by us in exercising any right shall operate as a waiver of it. 22.4 Nothing in these Terms creates any partnership, joint venture, agency or employment relationship. 22.5 The words “including” and “include” mean without limitation. Headings are for convenience only. No rule of construction shall apply to the disadvantage of a party on the basis that it drafted these Terms. 22.6 These Terms are written in English, and any translation is for convenience only.
23. Contact and grievances
23.1 Questions, complaints and grievances about the Service or these Terms may be sent to us using the details on our Contact us page. We will endeavour to respond within a reasonable time.
